The Annual General Meeting of the Saarbrücken-based software and business consulting company ORBIS SE (ISIN DE0005228779) was once again held virtually this year. The shareholders looked back on a profitable financial year 2024.
The Management Board and Supervisory Board proposed a dividend of 10 ct per share to the Annual General Meeting. The Annual General Meeting approved this proposal.
At the Annual General Meeting, the shareholders of ORBIS SE ratified the actions of the members of the Management Board and Supervisory Board for the 2024 financial year.
The shareholders' meeting appointed MSW GmbH Wirtschaftsprüfungsgesellschaft, Straße des 17. Juni 106-108, 10623 Berlin, as auditor and Group auditor for the 2025 financial year.
The shareholders then approved the remuneration report.
The Chief Financial Officer and Spokesman of the Executive Board, Mr. Stefan Mailänder, explained the business development for 2024 at the Annual General Meeting:
Despite the economic recession in 2024, ORBIS can look back on the financial year with satisfaction, according to Mr. Mailänder.
ORBIS recorded revenue of € 132,195 thousand at Group level in the 2024 financial year, which was comparable to the previous year (previous year: € 132,209 thousand). The number of employees as at December 31, 2024 was 901 (previous year: 907 employees).
The operating result (EBIT) amounted to € 5,019 thousand (previous year: € 5,140 thousand)
The share of consolidated net income attributable to the shareholders of ORBIS SE amounted to € 3,999 thousand after taxes and minority interests (previous year: € 2,712 thousand), an increase of 48%.
Cash flow from operating activities amounted to € 10,409 thousand in 2024 (previous year: € 9,701 thousand). Despite the investments in the expansion of the Saarbrücken site and the expansion of business operations, ORBIS still has cash and cash equivalents of € 18,118 thousand, an increase of 11% on the previous year (previous year: € 16,367 thousand at€ ).
According to Mr Mailänder, ORBIS has specialized and established itself as a competent partner on the path to the digital future in several business areas.
Mr. Mailänder emphasizes that ORBIS is therefore still very well positioned for the future in terms of market orientation and financial strength.
However, due to the economic crisis in Germany and Europe, the company expects sales and earnings in both the Domestic and International segments to remain at the previous year's level or increase slightly in the 2025 financial year.
Mr. Michael Jung, member of the Management Board of ORBIS SE, then gave a review of the operating business of the SAP and Microsoft divisions in 2024 and the prospects for 2025.
Mr. Jung emphasized that ORBIS also succeeded in acquiring numerous new customers and projects in the 2024 financial year and intensified its partnership with existing customers.
ORBIS can provide customers with a very comprehensive range of services in the field of digitalization and thus support companies in the automation of business processes, in particular now also through the use of artificial intelligence.
According to Mr Jung, companies mostly focus on the digitalization of their business processes. For the most part, customers use business applications from SAP and Microsoft. However, customers are also increasingly open to using technological offerings in the cloud, such as the platforms and services from Microsoft and SAP and/or other cloud providers.
This gives ORBIS the opportunity to offer customers a cross-platform consulting service based on ORBIS' knowledge of Microsoft and SAP processes and technologies. For ORBIS, this is a clear competitive advantage and a clear differentiation from other market players.
Mr. Jung concluded that ORBIS has promising opportunities to drive sustainable growth with its existing portfolio, supplemented by the new offerings from the AI (artificial intelligence) initiatives, SAP GROW (an offering for easy implementation of SAP S/4 Hana Cloud) and the move into another industry, namely the utilities sector (utilities that provide electricity, water or gas).
Mr Holzer reported that Mr Michael Jung (62), member of the Management Board of ORBIS SE, would be leaving ORBIS after 38 years with effect from December 31, 2025. Mr. Jung would continue to serve in his current role as a member of the Management Board until December 31, 2025.
Mr. Jung has been a member of the Management Board of ORBIS SE since 2018, prior to which he held various management positions at ORBIS SE "Mr. Jung has made an outstanding contribution to the sustainable development of ORBIS with his expertise, his reliability and his truly tireless commitment. We would like to thank him for this great lifetime achievement and wish him all the best for the future!" says Mr. Ulrich Holzer, Chairman of the Supervisory Board of ORBIS SE.
According to Mr. Holzer, Mr. Damien Schirrer, an internationally experienced ORBIS executive with many years of experience, has been named as his successor. The process of handing over activities from Mr. Jung to Mr. Schirrer has been secured.
